Version 2026-10-27

Felag maker agreement

Draft for review by an Australian lawyer; not yet in force. Version 2026-10-27. Placeholders in square brackets are for the operator to complete.

This agreement is between you, the maker, and [Felag Pty Ltd / entity name] (ABN [ABN]), Felag. It governs every listing you create and every version you submit. You accept it before your first listing, and the version you accepted is recorded with the date, a hashed IP address and a hashed device signature. Each submitted version also carries your declarations (section 4), kept with that version.

1. Eligibility

  • You are 18 or older and able to contract. If you act for a company, you confirm you are authorised to bind it.
  • You hold the professional registration a role needs where the regulated roles schedule says so, or you list with a registered professional as a co-maker.
  • You are not acting for a competitor of Felag to copy its catalogue, and you are not subject to sanctions that prevent Felag paying you.

2. Payouts and tax

  • Payouts go through Stripe Connect. You complete Stripe's onboarding and identity checks; until then Felag accrues but cannot pay your earnings.
  • You are responsible for your own tax. Australian makers quote an ABN and state whether they are GST-registered; without an ABN Felag may be required to withhold at the top marginal rate from payments to Australian business suppliers. Foreign makers complete Stripe's foreign status forms. Felag issues statements, not tax advice. [Lawyer and accountant: confirm agent-versus-principal GST treatment, no-ABN withholding, and whether the sharing economy reporting regime applies to Felag.]
  • Statements show the gross sale, the payment processor's estimated cost (2.9% plus 30 cents per transaction), Felag's share and your net.

3. What you submit

A listing is one role in one industry. A version is a package: manifest (jobs, sign-offs, setup questions), footprint (what it reads, writes, connects to and never touches), shell (the plugin), core (prompts and behaviour) and your tests. Every version must meet the standard enforced by the gate: only supported providers, no secrets in settings, declared triggers, a sign-off by a registered professional in regulated roles.

4. Your declarations at every submission

You declare, and it is recorded against the version:

  1. Ownership. You own, or hold a licence to, everything in the submission, and you may grant Felag the rights in section 9.
  2. No personal data. The submission contains no scraped or purchased personal information and nothing taken from a former employer or client.
  3. No secrets. No credential, token, key or password is embedded anywhere. Keys reach the automation only from the buyer's vault, by name.
  4. No harvesting. The automation does not collect, keep or send out anything beyond its declared footprint and connections.
  5. Regulated roles. Where the role is in the schedule, a registered professional stays in the loop, and the sign-offs that say so cannot be switched off by the buyer.

A false declaration is a material breach. Felag may remove every version that relied on it, forfeit unpaid earnings from it and close your account.

5. The review gate

  • Every version is checked automatically: footprint, your tests, a hidden benchmark suite for the role, a safety scan (instruction injection, hidden text, exfiltration, harvesting, shell content, obfuscation, undeclared tool use), the standard, and duplicate detection. Findings of severity block reject the version; review sends it to a person, who decides within 48 hours.
  • You see the gate report: your tests pass or fail, the hidden benchmark score, safety and standard findings with their location, and any duplicate flag. You never see the hidden benchmark cases themselves, and attempting to extract them (for example by copying inputs to an outside destination) is caught by canary tokens and treated as a safety block.
  • A version needs a hidden benchmark score of at least 60% to be listed.
  • You may withdraw a version in review at any time. Felag may re-run the gate on a listed version when the suite changes and may unlist a version that no longer passes, with notice and a 14-day window to submit a fix.

6. Ranking, copying and derivatives

  • Listings are ranked on verified results: benchmark, real-world success, retention, rating, your response time and freshness. There is no paid ranking. Sponsored banners are labelled "Ad" and never change rank.
  • Copying is accepted; adding nothing is discounted. A version whose behaviour is at least 90% similar and whose workflow shape at least 70% similar to an older listing, and which does not beat it on the hidden benchmark, is a replica: it lists, ranked at half its score and below the original, with the reason shown. A version that beats the older listing is an improvement and competes on results.
  • Declared derivatives. If you build on a listed listing and declare it as your parent, your version is never flagged against that parent, your lineage is shown, and 15% of your maker revenue from the derivative goes to the parent's maker for 24 months from your listing date. Declaring is voluntary.
  • Verbatim copies (an identical core, or another licence's watermark inside your package) go to a person and may be taken down through a dispute (section 11).

7. How you are paid

SaleYour share
All-access membership (the pool)70% of membership revenue each month is the maker pool. Each member's fee is split only among the listings that member used in the month, by verified seat-months and runs, weighted by your hidden benchmark score (floor 0.5). A seat counts once it is 14 days old; a listing earns once it has at least one verified seat-month.
Standalone sale80% of the price after the processor's cost. 85% on your first $100,000 of standalone sales in a calendar year, and on subscriptions in their second year.
Declared derivative of your listing15% of the derivative's maker revenue for 24 months
  • Holds. Pool shares are paid one month after the period closes. A new maker's earnings are held 30 days after their first sale. Use covered by a farm flag at or above 0.6 is excluded until a person decides.
  • Reversal. A confirmed farm finding (accounts, seats or runs created to be counted) reverses your pool share for every computed, unpaid period, forfeits the standalone earnings concerned, and counts as a strike.
  • Chargebacks and refunds. A refunded or charged-back sale reverses its ledger entries, including your share. Automatic refunds apply within 14 days and 25 runs; later requests are decided by Felag.
  • Felag pays monthly, on the first business day after the period closes plus any hold, in the currency of your Stripe account.

8. Support you owe buyers

  • Buyers raise tickets against your listing. You commit to a first reply within 24 hours. Your median first-response time over 90 days feeds your ranking: full marks at 24 hours, none at 168 hours.
  • A listing with no reply to any open ticket for 14 days may be marked unsupported and hidden from recommendations until you reply. Persistent silence is a ground for suspension.
  • You keep each listed version working against the providers it declares. When a provider change breaks it, you fix it within a reasonable time; Felag's health checks tell buyers in the meantime.

9. The licence you grant Felag

You grant Felag a worldwide, non-exclusive, royalty-free licence, for as long as the listing exists and for the paid period of every licence sold, to: host, store, scan, test (including against hidden cases), sign, watermark, serve and run the package for licensed buyers; display its name, description, manifest, footprint and results in the store and in marketing of the store; and keep copies as needed for disputes, audits and legal obligations. Buyers receive the licence in the terms, nothing wider. You keep ownership.

10. Warranties, indemnity and liability

  • You warrant the declarations in section 4, that your listing does what its manifest says, and that it complies with the law of the places it is sold.
  • You indemnify Felag and its buyers against claims that your listing infringes a third party's intellectual property or confidentiality, misuses personal information, breaches a professional-practice law, or causes loss through a defect you knew or ought to have known about.
  • Felag provides the marketplace and runtime "as is" to makers; Felag's liability to you is capped at your net earnings from Felag in the previous 12 months, except for liability that cannot be excluded by law.

11. Disputes and strikes

  • A maker who believes another listing copies theirs may open a dispute with evidence. Felag decides within 14 days; one appeal within 7 days of the decision.
  • Outcomes: upheld (the accused listing is suspended and its earnings since the claim transfer to the original maker), derivative required (relisted as a declared derivative with a warning), or rejected.
  • Each takedown is a strike. The third strike closes the account. A proven farm also counts as a strike.
  • Felag's decisions are made in good faith on the evidence available and the gate's findings. Nothing stops either party going to court.

12. Suspension and termination

  • Felag may suspend a listing or your account for a safety finding, a dispute, non-payment of a clawback, a breach of this agreement or the acceptable use policy, or where the law requires. Felag says why, and what would restore it, unless a live incident prevents it.
  • You may end this agreement by removing your listings. Buyers' existing licences survive: a removed listing keeps running for buyers to the end of their paid period, with updates no longer required of you. Felag pays what you have earned, less holds and clawbacks.
  • Sections 4, 9 (for surviving licences), 10 and 11 survive termination.

13. Changes, law and contact

Felag may change this agreement with 30 days' notice in the maker dashboard; you accept the new version at your next submission. This agreement is governed by the law of [State], Australia. Contact [privacy@felag.ai].
